These Affiliate Program Terms ("Program Terms") govern participation in the Donkit Affiliate Program (the "Program") operated by Donkit AI Inc. ("Donkit", "we", "our" or "us"). They supplement our Terms and Conditions (the "Terms") and Privacy Policy. If these Program Terms conflict with the Terms on a matter concerning the Program, these Program Terms prevail; on every other matter the Terms prevail. By enrolling in the Program or earning under it, you agree to these Program Terms.

Who We Are

Donkit AI Inc. is a Delaware corporation located at 850 New Burton Road, Suite 201, Dover, DE 19904, United States. Donkit AI Inc. operates the Program and is your contracting party under these Program Terms. Cash payouts (section 6) will be made by Donkit AI Inc., and the US information-collection and reporting rules that apply to payments made by a US company will apply to them (section 7).

The Donkit platform itself is developed and operated by our affiliate Donkit AI Ltd., an Israeli company located at Derech Menachem Begin 158, Tel Aviv-Yafo, 6492109, registration number 516981651, under the Terms. Your use of the platform, and that of Paying Users, remains governed by the Terms. In these Program Terms, references to Donkit's platform, prices, credits and billing records cover both entities; the rights and obligations under these Program Terms are those of Donkit AI Inc.

Definitions

  • Affiliate Account — your personal Donkit account once you have enrolled in the Program from it. Enrollment is available on personal accounts of individuals only; organization accounts, including organizations you own, cannot be Affiliate Accounts.
  • Affiliate Agent — an agent whose scope is your Affiliate Account and that is published with end-user billing enabled.
  • Paid Credits — credits a user has paid Donkit for: credits bought as a top-up, and the monthly credit allowance included in an active paid subscription. Credits included in the Free plan, the allowance of a plan granted under a promotion or by Donkit without a paid subscription, trial allowances, credits granted by Donkit, and Earnings moved to a credit balance are not Paid Credits.
  • Paying User — a Donkit user who runs an Affiliate Agent from an account that is not owned or controlled by you.
  • Eligible Spend — the Paid Credits charged to a Paying User for running an Affiliate Agent, as recorded by our billing system, across all kinds of work (model calls, media generation, web research, document processing, workflows and any other billable operation). Where a charge draws on both Paid Credits and other credits, the other credits are treated as used first.
  • Program Rate — the percentage of Eligible Spend credited to you as earnings. The current Program Rate is 10% and is published in the current Program Terms and in your dashboard.
  • Affiliate Wallet — the separate balance in which your Earnings are held, distinct from the credit balance of your account.
  • Earnings — credits accrued to your Affiliate Wallet under the Program, shown in your dashboard as pending, available or moved to credits.
  • Hold Period — the period during which newly accrued Earnings remain pending, as shown in your dashboard.
  • Minimum Payout Amount — the smallest amount that may be requested as a cash payout once cash payouts are available; we will publish it when they open. Available Earnings below it stay in your Affiliate Wallet until they reach it.
  • Reporting Month — a calendar month, determined in Coordinated Universal Time (UTC).
  • Payout Rate — the dollar value of one credit of Earnings, derived from Donkit's current credit pricing and shown in your dashboard. Until cash payouts open it is shown for information only.

Eligibility and Enrollment

  • The Program is open to individuals who are at least 18 years old, hold a Donkit account in good standing, and can lawfully participate and, once cash payouts are available, receive payments from us. You participate, and receive Earnings and payouts, only in your own name as a private individual. Companies, partnerships and other entities cannot enroll, and you may not enroll, earn or receive payouts on behalf of or for the account of any business, including your own.
  • You enroll by enabling the Program in the billing settings of your personal account and accepting these Program Terms; enrollment takes effect immediately. We may decline or end an enrollment at our discretion under sections 11 and 12.
  • Additional terms, notices and forms that apply to your participation, including the terms of cash payouts, are published in your affiliate dashboard. Where we ask you to accept them there, the feature they govern becomes available to you once you do, and once accepted they form part of these Program Terms.
  • You may enroll one personal account. You may not create, control or benefit from Affiliate Accounts held by others.
  • The Program is not available where participation or payment would be prohibited by applicable law, including sanctions and export-control rules.

How the Program Works

  • Earnings accrue only on Eligible Spend on Affiliate Agents. Agents scoped to an organization (including one you own), agents published with owner billing or for organization members only, runs by anonymous visitors, runs billed to an account you own, and the part of any charge that is not paid with Paid Credits do not generate Earnings.
  • Runs of an Affiliate Agent triggered from another agent or assistant (for example, a delegation from a user's main assistant) are treated the same way as direct runs: they generate Earnings only when they are Eligible Spend by a Paying User.
  • Your own use of your Affiliate Agents, from any account you own or control, does not generate Earnings.
  • Earnings are calculated per run as Eligible Spend multiplied by the Program Rate in force at the time of the run. Our billing records are the sole basis for calculating Eligible Spend and Earnings.
  • Paying Users pay Donkit's standard prices under the Terms. You may not charge Paying Users for access to an Affiliate Agent through Donkit, mark up Donkit's prices, or represent that Donkit's prices are yours. This does not prevent you from selling services of your own outside Donkit.

Holds, Reversals and Adjustments

  • Newly accrued Earnings are pending for the Hold Period and become available at its end, unless held under section 10.
  • If a Paying User receives a refund of any kind, including a refund of a credit purchase or of a subscription payment, or their payment is disputed, charged back or otherwise reversed, all Earnings generated by that Paying User during the Hold Period preceding the refund are reversed, whether pending or available. If those Earnings have already been moved to credits or paid out, the reversal is deducted from your available Earnings and, where necessary, from future Earnings.
  • We may correct Earnings that were calculated on incorrect data, including billing errors and usage later found to be ineligible, and we will tell you when we do so.

Using Earnings

Moving Earnings to credits. You may move available Earnings from your Affiliate Wallet into your account's credit balance at any time. Credits obtained this way are ordinary Donkit credits governed by the Terms: they never expire, are not refundable, cannot be converted back into Earnings or paid out in cash, and do not count as Paid Credits when spent on other creators' agents.

Cash payouts. Cash payouts are not available at the start of the Program. You may join the cash-out waitlist from your dashboard; joining creates no obligation on either side. When we open cash payouts we will announce them on the Program page and notify waitlist members, and we will publish in your affiliate dashboard the Minimum Payout Amount, the payment methods, the information we need from you to pay you lawfully and any additional payout terms. You must accept those payout terms in your dashboard before your first payout request.

Only Earnings are payable. When cash payouts are available they will be made from available Earnings only. Credits you purchase, credits granted to you and the usage allowance included in your plan are not Earnings and cannot be withdrawn, paid out or converted into cash.

Taxes and Compliance

  • We comply with US and applicable local legislation when processing payouts, including any information-collection, reporting and withholding obligations that apply to payments made to you. Where the law requires it, we will collect information from you before a payout and may withhold amounts from it; any amount withheld is itemized on the payout with the reason for it.
  • You are responsible for all taxes, duties and charges that apply to your Earnings and payouts in your jurisdiction, and for any registrations or filings that participation in the Program requires of you.
  • Earnings and payouts are reported and paid gross of your taxes unless withholding is required by law.

Your Agents and Content

  • You retain the ownership described in the Terms in the agents, instructions, documents and other content you create. You grant us the rights set out in the Terms to host, run and make your Affiliate Agents available to Paying Users.
  • You are responsible for your Affiliate Agents and for everything they do, say and produce. They must comply with the Terms, including the Acceptable Use Policy, and with the laws of the jurisdictions where you offer them.
  • You must describe your Affiliate Agents accurately. You may not claim or imply guaranteed outcomes, professional advice or qualifications the agent does not have, or affiliation with, endorsement by or partnership with Donkit beyond your participation in the Program.
  • You may state that an agent is "built on Donkit" and use the Donkit name and marks only in the form we publish for that purpose and only to promote your Affiliate Agents. All other use requires our written permission.

Paying Users and Their Data

  • Paying Users are Donkit users under the Terms and the Privacy Policy. Their relationship for the use of the platform, billing and support is with Donkit.
  • Your dashboard shows you usage and Earnings information about Paying Users, including their Donkit user identifiers and usage figures. You may use this information only to understand and improve your Affiliate Agents and to reconcile your Earnings. You may not attempt to identify a Paying User from it, combine it with other data for that purpose, contact a Paying User through information obtained from the platform, or disclose it to third parties.
  • Where you collect personal data from your users outside the platform (for example, on your own website or mailing list), you do so as an independent controller under your own privacy notice and in compliance with applicable data-protection law.

Prohibited Conduct

You may not, and may not permit or encourage anyone to:

  • generate Eligible Spend through accounts you own or control, through arrangements to split or return Earnings, or through any use whose purpose is to create Earnings rather than to obtain the agent's work;
  • use automation, bots, scripts or paid or incentivized traffic to inflate usage of your Affiliate Agents;
  • enroll more than one account, control or benefit from Affiliate Accounts held by others, or transfer your Affiliate Account to another person;
  • misrepresent the Program, the Program Rate, Donkit's prices or the results your agents deliver, or send unsolicited communications promoting your agents in breach of applicable law;
  • attempt to circumvent the Hold Period, the Paid Credits rules, the Minimum Payout Amount once it applies, our review processes or the eligibility rules;
  • use your Affiliate Agents or the Program for any activity that violates the Terms or applicable law.

Review, Suspension and Forfeiture

  • We monitor Program activity for compliance. Unusual patterns are reviewed by a person, and we may ask you for explanations or supporting information.
  • During a review we may hold pending and available Earnings and postpone any move to credits or payout. We may suspend your enrollment, in which case no Earnings accrue and Earnings cannot be moved to credits or paid out while the suspension lasts, and Earnings we reasonably determine to have arisen from conduct in breach of these Program Terms are forfeited and will not be paid or converted.
  • Suspension of your enrollment does not by itself affect your use of your account or of Donkit, which remains governed by the Terms.

Term and Termination

  • These Program Terms apply from the day you enroll until either of us ends your participation.
  • You may leave the Program at any time by telling us at the contact address below. We may end your participation at any time on notice, and immediately if you breach these Program Terms or the Terms, if we reasonably suspect fraud, or if the law requires it.
  • When participation ends without breach, your available Earnings may be moved to credits; pending Earnings continue through the Hold Period and then become available for the same purpose. Once cash payouts are available, available Earnings at or above the Minimum Payout Amount may instead be paid out.
  • If you leave the Program, or we end your participation under this section, Earnings that remain in your Affiliate Wallet 90 days after your participation ends expire and can no longer be moved to credits or paid out. This includes Earnings that stayed below the Minimum Payout Amount. The 90 days cover the Reporting Month in which participation ends, the payout period that follows it, and a further 30 days in reserve.
  • When participation ends for breach, unpaid Earnings are forfeited under section 11.
  • If we discontinue the Program, we will give at least 30 days' notice. No new Earnings accrue after the Program closes; Earnings already in your Affiliate Wallet do not expire because of the discontinuation, and pending Earnings become available at the end of their Hold Period. Available Earnings may be moved to credits or paid out under the rules above.

Changes to the Program

  • We may change the Program Rate, the Hold Period, the definition of Paid Credits, the Minimum Payout Amount, the Payout Rate, the eligibility rules and these Program Terms. Changes to the Program Rate, the Hold Period, the definition of Paid Credits and the Minimum Payout Amount take effect prospectively: Earnings already accrued keep the rate and terms under which they accrued.
  • We will announce material changes on the Program page or by email to the address on your account. Continued participation after a change takes effect means you accept it.

Relationship of the Parties

You participate in the Program as an independent contractor. Nothing in these Program Terms creates an employment, agency, partnership, joint-venture or franchise relationship, or authorizes you to make commitments on our behalf. Participation is non-exclusive for both of us.

Disclaimers and Limitation of Liability

  • We do not guarantee any level of usage, Earnings or payouts. The Program, the dashboard and the Earnings calculations are provided "as is" and "as available".
  • The limitation of liability and indemnification provisions of the Terms apply to the Program. In addition, our total liability to you arising out of the Program in any 12-month period is limited to the value of the Earnings accrued to you in that period, net of reversals and forfeitures.

Governing Law

These Program Terms are governed by the laws of the State of Israel. Any disputes shall be subject to the exclusive jurisdiction of the courts of Tel Aviv.
