Welcome to Donkit AI Ltd. ("Donkit", "we", "our" or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website at https://donkit.ai (the "Site") and any services, tools, software, content, and features provided by us, including our RAGOps agent and prompt-to-agent platform (collectively, the "Services").

Our Services are designed for and offered to businesses, organizations, and individuals using them in a professional or commercial capacity. They are not intended for consumer use or for individuals under the age of 18. By accessing or using the Services, you represent that you are acting on behalf of a business or in a professional capacity, that you have the authority to bind the entity you represent (if any), and that you are at least 18 years old.

By using our Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

Services Provided

Donkit develops an AI system that helps companies create, deploy, and optimize Retrieval-Augmented Generation (RAG) pipelines and custom AI agents automatically. This allows users to deliver fully optimized, production-ready AI systems and prompt-to-agent workflows in minutes instead of months in any cloud or on-premise environment.

Our Services may be delivered via the Site, via integrated environments, or through API access, depending on your agreement with us.

The Services are a business-to-business offering. We do not collect data we would consider identification documents and we do not provide medical, financial, legal, or other regulated professional services.

Account Registration

Certain Services may require registration. You must provide accurate and complete information and keep your account credentials secure. You are responsible for all activities that occur under your account.

Subscription and Payment

Access to some of our Services may require a paid subscription or enterprise contract. Payment terms, billing cycles, and refund policies are defined in your individual agreement with us or your selected pricing plan.

Online payments are processed by our third-party payment processor. When making a purchase, you will be required to provide accurate billing information and a valid payment method, and you agree to the terms of the payment processor. We do not directly receive or store your full payment card details; we receive only the customer and transaction identifiers necessary for billing and reconciliation.

Approval of the transaction by the payment processor and the card issuer is a prerequisite for any online operation. If a transaction is not approved, the order will be canceled. You are responsible for the accuracy of the information you provide; we are not liable for transactions that fail or are canceled due to inaccurate information you submitted.

In rare cases, errors may appear on the Site, including in pricing, due to human or typographical mistakes. In such cases, you will not be entitled to rely on the incorrect price and we reserve the right to cancel or modify any order or promotion affected by such errors. Prices do not include any taxes or other expenses that may apply in connection with the use of the platform.

Because the Services are intended for business and professional use, statutory consumer rights such as cooling-off or withdrawal periods do not apply to your subscription. Refunds, if any, are governed solely by your selected pricing plan or individual agreement with us.

We may update our pricing or introduce new fees from time to time. We will provide advance notice of such changes.

Intellectual Property & AI Outputs

Donkit's Ownership

All content, software, underlying models, infrastructure, and technology provided through the Services are owned by or licensed to Donkit and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the Services without our explicit written consent.

Your Ownership

You retain all rights, title, and interest in and to the prompts, instructions, context data, and configurations you input into the Services ("Inputs"). You also retain ownership of the text, actions, or data generated and returned by your agents based on your Inputs ("Outputs"). Donkit claims no ownership over your Inputs or Outputs.

No Training on Your Data

As detailed in our Privacy Policy, Donkit does not use your Inputs or Outputs to train or fine-tune our internal AI models without your explicit permission.

Acceptable Use Policy (AUP)

You agree to use the Services responsibly. You must not use the Services, or deploy any agents created via the Services, to:

  • Violate any applicable local, national, or international laws, regulations, or generally accepted practices in the jurisdictions where your agents operate.
  • Generate or facilitate spam, phishing, impersonation, or malicious activities (e.g., deploying agents that perform unauthorized scraping, hacking, or DDoS attacks).
  • Provide professional services that require specialized licensing (such as medical diagnosis, financial counseling, or legal advice) without clearly disclosing the AI nature of the service and obtaining necessary human oversight.
  • Reverse engineer, decompile, or attempt to extract the source code of any software provided by us.
  • Interfere with or disrupt the Services or the Site.

Rate Limits & Fair Use

Access to our platform and default LLM providers is subject to usage limitations based on your selected pricing plan (e.g., token limits or Requests Per Minute/RPM limits). You agree not to attempt to circumvent these limitations. We reserve the right to monitor account activity and may temporarily or permanently suspend accounts that display suspicious behavior, automated abuse, or activity that threatens the stability of our infrastructure, at our sole discretion.

Third-Party Integrations & "Bring Your Own Key" (BYOK)

Our Services allow you to connect your agents to third-party providers (e.g., OpenAI, Google, Microsoft, email providers, Slack, GitHub) using your own API keys or credentials ("Bring Your Own Key").

Your Responsibility

You are entirely responsible for the integrations you set up. You must comply with the Terms of Service, Acceptable Use Policies, and rate limits of those third-party providers.

No Liability

Donkit is not responsible or liable for any actions taken by third-party providers, including the suspension or termination of your external accounts, API keys, or access tokens resulting from your agent's behavior.

Privacy & Data Processing

Your use of the Services is also governed by our Privacy Policy. Furthermore, by using the Services to process personal data on behalf of your end-users (e.g., via published agents), you agree to the terms of our Data Processing Agreement (DPA), attached below as Exhibit A, which forms an integral part of these Terms.

Service Availability

We strive to ensure continuous availability of the Services but do not guarantee uninterrupted or error-free operation. We may suspend access temporarily for maintenance, upgrades, or legal reasons.

Termination

We may suspend or terminate your access to the Services if you violate these Terms, including our Acceptable Use Policy. You may terminate your use of the Services at any time by notifying us.

Limitation of Liability

To the maximum extent permitted by law, Donkit shall not be liable for any indirect, incidental, special, or consequential damages, or loss of data, revenue, or profits, arising from your use of the Services or reliance on any Outputs generated by AI agents. The Services are provided on an "as is" and "as available" basis for business use, without warranties of any kind, express or implied, to the extent permitted by applicable law.

Indemnification

You agree to indemnify and hold harmless Donkit and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or any actions taken by AI agents you deploy.

Governing Law

These Terms are governed by the laws of the State of Israel. Any disputes shall be subject to the exclusive jurisdiction of the courts of Tel Aviv.

Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes via the Site or by email. Continued use of the Services after changes means you accept the updated Terms.

Exhibit A: Data Processing Agreement (DPA)

This Data Processing Agreement ("DPA") supplements the Terms of Service and governs the processing of personal data by Donkit ("Data Processor") on behalf of the user ("Data Controller") when using the Donkit platform to deploy AI agents. This DPA applies to business customers using the Services in a professional or commercial capacity, consistent with the intended use of the Services described in the Terms of Service.

1. Roles of the Parties

When the Data Controller uses Donkit to create, manage, or publish AI agents that process the personal data of third-party end-users, the Data Controller is the controller of such data, and Donkit acts strictly as a Data Processor.

2. Scope of Processing

Donkit will process personal data solely for the purpose of providing the Services as instructed by the Data Controller through their use of the platform (e.g., routing prompts to LLMs, executing workflows, and storing conversation logs).

3. Data Controller Obligations

The Data Controller represents and warrants that it has all necessary rights, legal bases, and consents to allow Donkit to process end-user personal data. The Data Controller is solely responsible for receiving and validating data subject rights requests (e.g., deletion or access requests) from its end-users. Where the Data Controller is unable to execute a deletion or access request directly through the platform's available features, the Data Controller must fulfill its obligations by forwarding a written request to Donkit support to execute the action on their behalf.

4. Data Processor Obligations

Donkit shall:

  • Process personal data only on documented instructions from the Data Controller.
  • Ensure that persons authorized to process the data have committed themselves to confidentiality.
  • Implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including the secure encryption of integration credentials as detailed in the Privacy Policy.
  • Assist the Data Controller, insofar as possible, in fulfilling its obligation to respond to requests for exercising data subject rights. This includes manually executing specific end-user data deletion or access requests submitted by the Data Controller within a reasonable timeframe (not to exceed 30 days) upon receiving written instruction.
  • Delete or return all personal data to the Data Controller after the end of the provision of services relating to processing, and delete existing copies unless applicable law requires storage of the data.

5. Sub-processors

The Data Controller provides general authorization for Donkit to engage third-party sub-processors (such as cloud infrastructure providers and third-party AI/LLM providers) to assist in delivering the Services. Donkit shall ensure that any sub-processor is bound by data protection obligations materially similar to those in this DPA.

This DPA shall be governed by and construed in accordance with the laws of the State of Israel, with exclusive jurisdiction in the courts of Tel Aviv.
